Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AAMP+ Ambassador Management Platform and related services (the "Service"), owned and operated by MY Agency LLC ("AAMP+," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Accounts

You must be at least 18 years old and an authorized user to access the Service. You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use. Accounts are provisioned and may be suspended or revoked by your organization's administrators or by us.

2. License to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your organization's internal business purposes during the period your access is authorized. This right does not include any resale, sublicensing, or use outside the scope authorized by your organization.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, or unauthorized purpose;
• Access, tamper with, or use non-public areas of the Service or another organization's data;
• Reverse engineer, decompile, copy, or create derivative works of the Service except as permitted by law;
• Introduce malware, attempt to disrupt or overload the Service, or circumvent security or access controls;
• Upload content that infringes the rights of others or violates applicable law;
• Scrape, resell, or commercially exploit the Service or its data without authorization.

4. Customer Data

"Customer Data" means the data and content that you or your organization submit to the Service. As between the parties, your organization retains all rights in and to its Customer Data. You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and support the Service, and as otherwise described in our Privacy Policy. You are responsible for the accuracy, quality, and legality of Customer Data and for having the necessary rights to submit it.

5. Intellectual Property

The Service, including all software, design, text, graphics, features, and underlying technology, is owned by MY Agency LLC and its licensors and is protected by intellectual property laws. All rights not expressly granted to you are reserved. The "AAMP+" name, logo, and branding are marks of MY Agency LLC and may not be used without our prior written permission. No ownership of the Service is transferred to you or your organization under these Terms.

6. Third-Party Services

The Service relies on third-party providers (for example, for hosting, authentication, email, and mapping). Your use of the Service may be subject to those providers' terms, and we are not responsible for third-party services. Optional Google sign-in is governed by Google's terms and our Privacy Policy.

7. Confidentiality

Each party may have access to non-public information of the other party and of organizations using the Service. Each party agrees to protect such information with reasonable care and to use it only as necessary to perform under these Terms or use the Service, except where disclosure is required by law.

8. Service Availability

We strive to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features of the Service, and may perform maintenance that temporarily limits availability. We will use reasonable efforts to limit disruption to authorized users.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MY AGENCY LLC OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID FOR THE SERVICE FOR THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100) IF NO AMOUNTS WERE PAID.

11. Indemnification

You agree to indemnify and hold harmless MY Agency LLC and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, or your violation of these Terms or applicable law.

12. Term and Termination

These Terms apply while you have access to the Service. We or your organization may suspend or terminate your access at any time, including for violation of these Terms. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnification) will survive.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after an update constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Tennessee and the United States, without regard to conflict-of-laws principles. The parties agree to the exclusive jurisdiction of the state and federal courts located in the State of Tennessee for any dispute not subject to alternative resolution, to the extent permitted by law.
